Our goal at GriotSites is to assist you in establishing and maintaining a custom Web Property for your vision/business idea. It is our experience that the best way for us to accomplish this goal is to make clear our understandings with each other before we commit to your Web Development Project. This document covers the terms of our agreement together. We will always do our best to fulfill your needs and meet your goals, but sometimes it is best to have a few simple things written down so that we both know what is what, who should do what, and what happens if stuff goes wrong. In this contract, you won't find complicated legal terms and large passages of unreadable text. We have no desire to trick you into signing something that you might later regret. We do want what's best for the safety of both parties, now and in the future.
OUR CONTRACTS ARE LEGALLY BINDING AGREEMENTS. We are licensed, insured, & certified in the state of Arizona. If there should be any legal dispute, the laws of the state of Arizona shall apply.

You (the Client) are engaging GRIOTSITES WEB HOSTING DESIGNS as an independent contractor for the specific purpose of developing and/or improving a World Wide Web Property to be installed on the GRIOTSITES.COM server (unless you specify a different server of your choice). You hereby authorize GRIOTSITES WEB HOSTING & DESIGNS (GS) to access your current Web Hosting account, and authorize the web hosting service of your choice to provide GRIOTSITES.COM with "write permission" for the Client's web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. By agreeing to this Contract, You (the Client) also authorizes GRIOTSITES.COM to publicize your completed Web Property to Web search engines, as well as other Web directories and indexes.
Age. Authorized representative of the Client certifies that he or she is at least 18 years of age and legally capable of entering a contract in the United States of America on behalf of the Web Development, products or services being purchased.
As our Client, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide us with everything that we need to complete the project, including text, images and other information as and when we need it (in the format that we ask for). You agree to review our work, provide feedback, and sign-off approval in a timely manner.
***COMPANY’S NAME GRIOTSITES.COM MAY BE INTERCHANGEABLE THROUGHOUT THIS CONTRACT AS GRIOTSITES WEB HOSTING & DESIGNS OR "GS". WEB PROPERTY, WEBSITE, AND SITE MAY ALSO BE INTERCHANGEABLE THROUGHT THIS CONTRACT. THE TERMS “YOU” REFER TO THE CLIENT OR THE PARTY ENTERING INTO THIS AGREEMENT.
Our Contracts are written with a 30-day term that must not exceed the expiration date. We encourage you to refrain from submitting your Contract until you have at least 40% of your content ready (unless you are obtaining our Content Writing Services).
In the event your contract expires and is unfulfilled due to you (Client) not submitting web content in a timely manner, you will be offered to options:
If you choose to rehire us, please note that the charge to complete each web page is $50.
Please review this Web Development Contract carefully to be sure that you agree to all of the terms. You are not locked into this contract and you may cancel at anytime, but be mindful that there is a cancellation fee (see chart). Once your Web Property is published live to the internet, there is no cancellation fee or refunds for the services that have been rendered.
How We Handle Defaulted Contracts
Defaulted contractual agreements can and will negatively affect your in-house credit with GriotSites Web Hosting Plans, which in turn affects your ability to apply for credit, extended payment plans, etc.
Defaulted contractual agreements will also prohibit you from entering into other contractual agreements to purchase products or services in advance.
When you are approved or extended credit to obtain products or services such as Web Development packages (GriotPay) or Web Property maintenance plans (Web Insurance Plans or WIP) rendered by GriotSites Web Hosting & Designs, you are promising to pay or repay us for delaying payments for you. You are also acknowledging that products and services are being afforded to you on a "merit" principle, meaning that we do the work without the full payment, but trust you to pay us the remaining balance on time at the scheduled contractual date. Defaulting on a contractual agreement due to non-payment can and will hurt your credit abilities - to include all products and services offered by GriotSites Web Hosting & Designs.
1.6. You may not apply for any of our payment extension services, including GriotPay Credit Services, and any Web Insurance Plans Payment Extension plans for a maximum period of 6 months or 180 days.
1.7. You may not request advanced invoices to purchase any products or services offered by GriotSites Web Hosting Designs for a period of 90 days or 3 months. If you are purchasing products or services, you must pay for them at the time of request through a GriotSites Representative at 888-600-2011. You can also make your purchased directly through your assigned Web Developer.
1.8. You are not eligible to pay a deposit on services or products being offered by GriotSites Web Hosting & Designs for a maximum period of 6 months or 180 days. Any products or services being purchased must be paid in full at the time of purchase. No exceptions.
1.9. You may not participate in any special offers, redeem any coupons, or receive any incentive rewards from GriotSites Web Hosting & Designs until all monies are paid in full.
1.10. You may not request a "Letter of Good Standing" from GriotSites Web Hosting & Designs. This service will be available to you after for re-establishing an acceptable credit history of 6 months or 180 days.
How to prevent defaulting on a contractual payment.
If you foresee that you are going to miss your contractual payment, it will benefit you to take the proper steps to keep or obtain a good credit relationship with Griotsites Web Hosting & Designs.
1.11. You have the option to extend your contractual agreement. To extend your agreement, the cost is $50 per week (7 days) up to a maximum of 4 weeks ($200). Contractual Agreement Extensions must be approved before the Contract expires. No exceptions.
1.12. You can enroll in GriotPay Credit Services and make monthly payments on the remaining balance of your contractual agreement.
1.13. You can avoid all of the headache and just clear your contract before it expires as initially agreed.
Before even considering hiring us to develop your Web Property for you, we humbly request one huge favor from you: TRUST THE PROCESS!
We understand that the Web Property Developing process can be overwhelming for some - especially those who are new to the online Web Property Ownership Community. We provide copious amounts of information regarding our products and services to assist you with common questions and answers. You will also have access to your Web Developer/Designer directly for the 30-day contractual period.
GriotSites Web Hosting & Designs agrees to submit a First Mockup Draft or "demo" of web files no later than twenty (20) days after we receive this signed agreement, along with down payment and initial content and direction from you, the Client. You, the Client, agree to provide GRIOTSITES.COM with all the data needed to complete your Web Property Development in a timely manner to include text, company logo, and images. Upon completion of this stage, you will be required to approve/disapprove your completed web files. You will be required to electronically sign off on each web page acknowledging that you carefully reviewed them.
You, the Client, will be contacted via your primary email requesting you to log into your Web Property and complete your Evaluation Sheet (WPES). Once your completed WPES is received, the work necessary to complete the project will continue unless the Client has requested some changes/corrections on the Web Property Evaluation Sheet.
Upon completion of the Web Property, a final WPES will be sent to you, the Client, via e-mail or letter requesting a final sign-off on your Web Property Development. An invoice will be sent to you reflecting any outstanding balances unless you are enrolled in our GriotPay Credit Services Program. You agree to provide your approval of your completed web pages by logging into the secured WPES using credentials that are supplied by your Web Developer.
After your contract has been paid in full, the completed Web Property will be uploaded to the Client’s hosting company (if not hosted by Us) and emailed in a zip file if requested. GRIOTSITES.COM will deliver one copy of your Web Property's web files using a paid online delivery service upon your request, completion of your site, and upon receipt of your final balance if any at the time of completion. There is a $45 fee to request a copy of your web files from GriotSites. You have the option of downloading your own files and zipping them to store them on your computer. There is no charge for downloading your own web files held within your cPanel.
We hope you can understand how important that all monies are collected on or before they are due. It is imperative that you pay the invoices that we send you promptly for open contract. As we're also sure you'll want to stay friends, you agree to stick to the following payment schedule:
A Minimum deposit of $100 is required to enter a Web Development contractual agreement between you (the Client) and GriotSites Web Hosting & Designs. Fees to GRIOTSITES.COM are due and payable on the following schedule:
4.1. $100 is the minimum payment due upon signing of a new contract in order to establish/open an account with GriotSites. This opening fee will NOT start your project, but it will lock you into our busy Calendar. You can submit your content during this period to be stored in a designated folder until it's time to start the development.
4.2. Actual work does not begin until you've submitted at least half or 50% of your total contractual invoice. Once you've reached the 50% mark, development of your 1st demo will began if content is available at the time of development.
4.3. Web Property WILL NOT be launched until your contractual invoice is paid in full, leaving a $0 balance.
4.4. Clients who choose to host with GRIOTSITES.COM will have the privilege of the developed Web Property being live before the final payment; however, if final payment is not received on or before the contractual agreement expiration date, the Web Property will not be submitted to the internet for public access. If the total amount of this contract is less than $125, the total amount shall be paid upon signing of contract and any additional costs incurred during development will be invoiced at the completion of the Web Property.
4.5. Advertising the web pages to major Search Engines and updating occur only after the final payment is made. All payments will be made in US funds.
GRIOTSITES.COM reserves the right to remove web pages from viewing on the Internet until final payment is made. If a payment delay is anticipated, please contact GRIOTSITES.COM immediately for an alternative arrangement such as our GriotPay Program. In case collection proves necessary, the Client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by GRIOTSITES.COM. Regardless of the place of signing of this agreement, you, the Client, agrees that for purposes of venue, this Web Development Contract was entered into in Casa Grande, AZ, and any dispute will be litigated or arbitrated in Phoenix, AZ.
GRIOTSITES.COM will secure a domain name for You (the Client) at your request. All charges incurred in doing so will be billed to you as an addition to the base price contemplated by this agreement. GRIOTSITES.COM will contact you to inform you of any additional charges, and will not include them until agreed upon by you, the Client. Please note that these are Internic fees, and are not a source of income for GRIOTSITES.COM.
Some Web Development Packages offer a free domain registration for the first year. If this is the case, GRIOTSITES.COM will register the domain name on your behalf. You agree that your domain name registered by us will be transferred to your GriotSites eStore Account after the 60-days hold issued by ICANN. You will be listed as the owner of the registered domain. You can read more about ICANN here.
If you (the Client) currently have a register domain name, GRIOTSITES.COM will coordinate redirecting the address to your new host. Should you desire a specific domain name that is already owned by another party, negotiations for said domain name must be undertaken by you, the Client.
Once your Web Property Development is completed, you can either continue hosting with GriotSites or with another host of your choice. If you decide that you will be hosting your Web Property elsewhere, you can request a zipped copy of your Site to be emailed to you. We recommend that you advise your chosen web hosting company that your Site is in a zipped form, and to instruct you on how to transfer the files to their server space." Our techs can work with your chosen hosting company with transferring your domain information to them. Only 1 zipped file will be sent upon request. Any additional zipped files needed is $50.00 each. You can also download and save your web files via your cPanel.
If you choose to host with GriotSites, Awesome! We would absolutely LOVE being your web host provider. All of our hosting plans come with free web hosting cycles. You just pay your monthly/yearly hosting fees and you are all set to go!
If you choose to remain hosting with GriotSites on a monthly basis after launching, a credit card is required and must be set up in your Billing Account as an automatic withdrawal by you. The other option is to pay the entire year and not receive a hosting bill until the annual renewal date UNLESS you upgrade your Web Development, change your Web Hosting plan, or enroll in WIP (Web Insurance Plan). ***Remember, your Web Property will not be live once your hosting plan expires due to non-payment.

6.1. Web Hosting: You, the Client, agrees to select a web hosting service that allows GRIOTSITES.COM full access to the web site and a cgi-bin directory via FTP and telnet. You (the Client) further understand that if the web hosting service's operating system is not a Unix system, standard CGI software may not work, and providing a substitute may incur additional charges.
6.2. cPanel hosting is also available for Clients who wish to maintain/update their own web pages after the Web Development has launched. Basic HTML and PHP knowledge is required. There is a $45.00 per hour charge to clean up or restore each web page dismantled by anyone other than a GriotSites Web Specialist or WIP Technician.
Please note that hosting packages and Web Property packages are not interchangeable during your contract period as well as during your 3 months free web hosting included in your package. Once you begin paying for hosting ($12.95 per month or $119.40 per year), you can sign up for any of our web hosting plans as long as your site and the chosen plan is a good fit. The text and graphic content of the web pages will be supplied by the Client and executed as specified by you, the Client in the “Web Page Planning Worksheet" and/or the Store Planning Worksheet. It is understood that total prices calculated are likely to vary from the final amount due to different quantities of products, categories, photos, regular pages, etc. in the final Web Development. An Estimate is listed in the Griot Welcome Packet and governs the prices for this Contract. Notwithstanding any prices listed in literature or on web pages, the Client and Developer (GriotSites) agree that the services described in this legal document shall be completed for the amount indicated in the Griot Welcome Packet and upon this amount the first payment shall be determined. The final payment shall reflect and include all elements actually completed at the prices attached. Content to be implemented on your Site's web pages will be supplied by you (the Client) and executed as specified by you in the "Website Planning Worksheet" (commonly referred to as Website Checklist Online).
7.1. Each Web Development package includes the allotted number of web pages according to the package chosen. In case you desire additional standard web pages beyond the original number included in your Web Property Package, you, the Client, agrees to pay GriotSites Web Hosting & Designs starting at $50.00 for each additional web page developed.
7.2. Graphics or photos beyond the allowed average of 1.3 per webpage (or allotted photos according to the chosen Web Property Package) shall be billed at an additional $5.00-10.00 each. Where custom graphic work (beyond the scope of the "Custom Graphics Package" is requested, it will be billed at the hourly rate starting at $45.00. Additional services, and prices of products or services not included in your chosen Web Development Plan are detailed in a separate document if requested.
7.3. Words of text must be supplied by the Client (200 words per page approximate maximum). Web pages of more than 1,200 words of text may be subject to additional fees, especially if they require a great deal of formatting.
7.4. We are not responsible for writing the content and/or conducting research of submitted content. We'll be happy to help though, and in addition to the estimate we will charge you at $45.00 per hour for Content Writing Services.
7.5. Sending content for your Web Property in abundance and expect for us to "figure out" what content you want to use is prohibited. We require that you send to us the appropriate amount of content that is desired by you, and/or requested by your assigned Web Developer. Web content can also be imported from your current Web Property if you choose to keep the look and feel of the original Web Property. Importing your entire Site will be billed at the cost of building one from scratch. This is due to the fact that often times when we transfer a web page to our server, things can and will get discombobulated. We have to go into each page and straighten things up, so the time it takes to do so often equals to the amount of time it takes to build the site from the start.
We offer several Web Development packages to cater to a Client's different needs. Choosing a Web Property Development Package depends on how much space you actually need (or projecting to need), and how many web pages you desire. A GriotSites Representative can assist you with choosing the right package to fit your needs.
We, your Web Developer, pride ourselves on providing excellent customer services to our Clients. That is the spirit of our agreement and the spirit of GRIOTSITES.COM. We encourage input from you, the Client, during the designing process. We understand, however, that Clients may request significant design changes to web pages that were already built to the Client's specification. To that end, please note that our agreement does not include a provision for significant web page modification, or creation of additional web pages in excess of your chosen Web Property's web page limits.
It is our job as your Web Developer to create the design and layout that you envision for your Web Property. Our process is much different than normal Web Developers/Designers, because our main goal is to create a digital version of your vision. The only affective way to do this is to tap into your vision using several methods:
9.1. By meeting with your Web Developer as many times as needed throughout the course of your Web Development Contractual Agreement period. The more you speak with your Developer, the more he/she learns about you and your mission/vision/purpose for the Web Property Development being developed.
9.2. By reviewing/studying the Web Property Checklist submitted by you, the Client. Once a contract is signed, required payment is made by you (the Client), and the Web Property Checklist/Interview is received by your Web Developer, he/she will schedule a consultation to meet with you. This meeting is a requirement for many reasons, one of them being the opportunity for questions to be asked by either you (the Client) or your assigned Web Developer. This is also the opportunity for your Web Developer to hear your voice in an attempt to connect with your energy so that he/she can see your online vision as you see it.
9.3. By researching other Sites that seemed to be doing great online. Your assigned Web Developer may spend time researching the field/industry you are currently in or trying to get in.
9.4. We do not copy another Web Property/Website/Web page, but, we may use the layout and design of another for pure inspiration and ideas. We do these researches to see exactly how others who are successful in your industry is doing it so we can pass this information onto you, the Client.
9.5. Once you sign-off/approve a Layout and/or Design, and your contractual agreement is paid in full before launching, you (the Client) will be the owner of the Design, not the Layout itself. The reason is because there are only so many ways you can lay out content on a single web page. Applying a copyright to a layout can be tricky when proving that it is like no other on the web - unique to only you!" The Design itself is your Property because it (design) was created from YOUR vision. This means that if you discover someone else using your Design, you have the right to take legal action against the owners of that Site.
9.6. If you decide you change your mind about your completed Web Property, you may offer to sell the rights of the Design back to us. We will pay between 50 to $100 on a web design you no longer want to keep. Even if you host your Web Property elsewhere and decide you want to shut it down, contact us to see if we are interested in purchasing back from you.
9.7. Finally. you can opt to rent out your Web Property through our Website Rental Services.

This agreement contemplates up to an average of 5 external/internal or relative links per web page, and an e-mail response link on each web page to any e-mail address specified by you, the Client. View your chosen Package for specifications because the link count is different in each one. This agreement also contemplates making any chosen link to “pop up” in a new window if requested at the specific dimensions and configuration specified by you, the Client.

Your contractual agreement may include adding products and payment methods to your Web Property. It is the responsibility of you (the Client) to supply all content needed for implementing/integrating/installing e-commerce on your Web Property.
We include email/phone consultation of up to 2 hours total general Internet orientation education, marketing strategy, Web design consultation, and helping Clients learn to use the store software. Telephone long distance charges are in addition to package rates quoted. (Additional education and consultation is at our hourly rate starting at 45.00).
Product web pages, products, or photos added after the store is ready for advertising to the Web search engines will be calculated for actual time spent at the hourly rate of $45.00.
12.1. Web Security Certificate: If you (the Client) selects an e-commerce enabled Web Property, you are encouraged to obtain a private web security certificate (SSL Certificate) for online transactions. You (the Client) understands that if you do not obtain your own web security certificate, a free one will be installed on your Web Property. We encourage you to purchase a private web security certificate from our services here.
12.2. Merchant Account: The Client will need a Merchant Account to enable the ability to accept credit cards online. Any charges necessary to secure the Merchant Account are chargeable to the Client.
12.3. Real Time Credit Card Processing. If the Client has a high volume / high sales Web Property, real-time credit card processing will be desired. In this instance, GRIOTSITES.COM will assist the Client in obtaining this service. Any charges related to this service are the responsibility of the Client as an addition to this agreement.
There are 3 ways to add products or services to your Web Development.
1. DIRECTLY ON A WEB PAGE. If you are selling your products and/or services on one (1) or more web pages, the content will be implemented directly into the web pages.
You are solely responsible for providing the content for your products/and or services such as,

2. USING A SCRIPT
E-commerce Scripts are offered through your cPanel as part of your Web Hosting plan. These third-party scripts are installed on your Web Property's domain name, and can be managed through the cPanel.
3. USING AN EXTERNAL WEB PROPERTY
Post contractual terms, it is Your responsibility as the Client to provide maintenance services, may opt to purchase one of our Web Maintenance Service Plans or (WIP) at a monthly rate starting at $35.00. WIP allows Clients to submit update, maintenance, and troubleshooting requests for their web pages. Clients who decline to enroll in WIP agrees to posting charges starting at $10 for each posting that needs to be made to a web page within the scope of the original design.
13.1. Maintenance Grace Period: This agreement includes minor web page maintenance to regular web pages (not store product pages) over a one-month (30 day) contractual period, including updating links and making minor changes to a sentence or paragraph. It does not include removing nearly all the text from a page and replacing it with new text. If you or anyone other than GRIOTSITES.COM attempts to update your Web Property web pages, time to repair web pages will be assessed at the hourly rate starting at $45.00 and is not included as part of the updating time. The one-month maintenance period commences upon the date you, the Client, signs this contract. You may be offered a special price to allow you to try the WIP. Ask your web Developer for details.
13.2. Changes requested by you, the Client, beyond limits mentioned in this Contract will be billed at the hourly rate of $35.00. This rate shall also apply towards additional work authorized beyond the maximums specified above for such services as: general Internet orientation education, marketing consulting, web page design, editing, modifying product web pages and databases in an online store, also art, photo, graphics services, and helping Clients learn how to use their own web page editor.
Extended Maintenance Contracts:
13.3. Upon the completion and launching of your Web Property, all updates, maintenance needs, and troubleshooting needs are the sole responsibility of you, the Client. You understand that you will be the owner of intellectual property, and just like real property, it is up to you to maintain it.
13.4. You may opt to enroll in our Web Insurance Plans maintenance program or "WIP" to fulfill all updates, maintenance, and troubleshooting needs. View all Web Insurance Plans for more details.
13.5. You may opt to hire an external entity to perform your maintenance tasks for you. Please be aware that if you or someone other than a GriotSites Web Property employee works on/modifies/edits your web files in any way and cause damage or harm to them, your will be required to pay a reconstruction charge starting at $45 per hour. This includes any and all external devices and tools that may be used to manipulate/modify/change your Web Property's web files developed by GriotSites Web Hosting & Designs.
13.6. You acknowledge that you are aware that cPanel hosting is also available to you if you wish to maintain your own web pages.
13.7. You acknowledge that you are aware that HTML and PHP knowledge is required to update web files.
If you, the Client, decides not to enroll in WIP, you acknowledge that you are aware that you must submit a ticket to WIP to obtain all maintenance services. A service charge started at $45 per hour is required to obtain any servicing to your Web Property.
Some Clients will desire to independently edit or update their web pages after completion of the site. You acknowledge and are aware that GRIOTSITES.COM is not responsible for any damage created by you, the Client, or agent of the Client. Any repairs required will be assessed at an hourly rate starting at 45.00. [1 hour minimum charge].
This agreement includes all the aforementioned services (unless otherwise noted in the Griot Welcome Packet). Additional services available are listed below. Inquire about quotes for each add-on:
14.1. Page Redirection / Plug-in Technology: JavaScript programming page redirection based on the presence or absence of a viewer's browser, plug-in, screen resolution and platform. Note, however, that if additional pages are necessary to accommodate specific browsers, plug-in technology, screen resolutions, or platforms, additional charges may apply of $50 per web page.
14.2. Graphic Creation / Banner Advertisements: This custom package contemplates that the GRIOTSITES.COM will create, capture or receive from the Client all the graphic elements necessary to complete the Client’s Web Property. This includes creation / redesign of Corporate Identity (logo), ancillary images, animated graphics; photography and banner advertisements.
14.3. Java Applets. This custom package contemplates the use of Java Applets. Clients are encouraged to not use Java Applets as many viewers on America Online will be served an error when trying to view the page. Java Applets may also 'crash' older computers on download and download times for some viewers can be excessive.
14.4. Macromedia Flash: Macromedia Flash is always an option and the specific understanding of our arrangement. Although Flash work is charged by the hour, GRIOTSITES.COM warrants protecting the Client by specifying a maximum charge in advance. GRIOTSITES.COM warrants working earnestly to come in under the maximum charge.
14.5. Real Audio/Video. This custom package contemplates using Real Audio or Real Video on the Client's site.
14.6. QuickTime / QuickTime VR. This custom package contemplates using QuickTime or QuickTime VR technology on the Client's web site.
14.7. E-commerce. This custom package contemplates the possibility of an e-commerce enabled site if a shopping cart is required for the Client's site. Shopping carts or pages will be included in the estimation quote at the Client's request.
14.8. Secure Certificate: If the Client selects an e-commerce enabled Web Property, the Client is encouraged to obtain a secure certificate (SSL Certificate) for online transactions. The Client understands that if they do not obtain their own secure certificate, design capabilities on the shopping cart itself may be limited. Some Web Property Packages have SSL Certificates included. Client is encouraged to purchase a secured certificate from our services here.
14.9. Merchant Account: The Client will need a Merchant Account to enable the ability to accept credit cards online. Any charges necessary to secure the Merchant Account are chargeable to the Client.
14.10. Real Time Credit Card Processing. If the Client has a high volume / high sales Web Property, real-time credit card processing will be desired. In this instance, GRIOTSITES.COM will assist the Client in obtaining this service. Any charges related to this service are the responsibility of the Client as an addition to this agreement.
